1. Agreement to these Terms
These Terms of Service apply when you access the Nawexa public website or use a Nawexa product or service that links to or expressly incorporates these Terms, including AIOS where applicable.
By using a covered service, you agree to these Terms. If you use a service on behalf of an organization, you represent that you are authorized to accept these Terms for that organization.
2. Nawexa services
Nawexa designs and operates technology products and services that may include artificial intelligence, automation, software platforms, integrations, data processing, cloud capabilities, and related professional or technical services.
Specific functionality, service levels, project scope, support commitments, implementation responsibilities, or commercial deliverables may be governed by a separate written proposal, order, statement of work, subscription agreement, or other contract. If a signed commercial agreement conflicts with these general Terms, the signed agreement controls for that engagement.
3. Accounts and access
Some Nawexa products may require an account or organization workspace. You are responsible for providing accurate account information, maintaining the confidentiality of credentials under your control, and promptly notifying Nawexa of suspected unauthorized access.
You must not share access in a way that bypasses account, licensing, organizational, security, or approval controls configured for the service.
4. Acceptable use
You may not use Nawexa services to:
- violate applicable law, regulation, court order, or the rights of another person;
- gain unauthorized access to systems, accounts, data, or networks;
- introduce malware, disrupt service availability, probe security controls without authorization, or abuse technical resources;
- circumvent usage limits, access controls, approval gates, or security restrictions;
- submit content you do not have the right to use, process, or disclose;
- use the service to create or distribute unlawful, fraudulent, deceptive, or intentionally harmful material.
Nawexa may take proportionate steps to protect users, systems, service integrity, and legal compliance where misuse is reasonably suspected.
5. Third-party services and integrations
Nawexa products may connect to services provided by third parties, including Google and other software, infrastructure, communications, or business platforms. You decide whether to authorize an optional integration and are responsible for ensuring you have authority to connect the relevant account or data.
Third-party services are governed by their own terms, policies, availability, and technical limitations. Nawexa does not control changes made by third-party providers, including API changes, permission requirements, outages, or service discontinuation.
Use of Google user data through Nawexa products is also subject to the data-handling commitments described in our Privacy Policy and Google API Data Use disclosure.
6. User and business content
You retain your rights in information, files, instructions, business records, and other content you provide to a Nawexa service. You grant Nawexa the limited rights necessary to host, process, transmit, transform, or otherwise handle that content solely as needed to provide, secure, support, and maintain the service and the workflows you configure.
You are responsible for ensuring that you have the necessary rights, notices, approvals, and lawful basis to submit or process content through the service.
7. AI-assisted features
Some Nawexa services may use artificial intelligence to assist with analysis, drafting, classification, workflow execution, decision support, or other operational tasks. AI-generated or AI-assisted outputs may be incomplete, inaccurate, or inappropriate for a particular context.
You remain responsible for reviewing outputs before relying on them for important business, legal, financial, safety, employment, compliance, or other high-impact decisions. Where the product provides human approval controls, users should configure and use those controls according to the risk of the workflow.
8. Nawexa intellectual property
Except for user content and third-party materials, Nawexa and its licensors retain rights in the services, software, interfaces, designs, documentation, trademarks, and underlying technology. These Terms do not transfer ownership of Nawexa intellectual property to you.
You may not copy, resell, reverse engineer, reproduce, or create derivative commercial offerings from protected Nawexa materials except where expressly permitted by law or a written agreement.
9. Availability, updates, and changes
Nawexa may update, improve, replace, suspend, or discontinue features as technology, security, legal requirements, third-party dependencies, or business needs evolve. We may perform maintenance that temporarily affects availability.
Where a separate commercial agreement includes specific uptime, support, maintenance, or change-management commitments, those commitments apply instead of this general section for the covered service.
10. Commercial terms and fees
Pricing, subscriptions, project fees, payment schedules, taxes, renewals, usage allowances, and cancellation rights are governed by the applicable quotation, order, subscription plan, statement of work, or other commercial agreement.
Nothing on the public website alone creates a binding project award, guaranteed delivery date, fixed price, or service-level commitment unless confirmed in an authorized written agreement.
11. Disclaimers
To the extent permitted by applicable law, the public website and any service provided without a separate warranty are supplied on an “as available” basis. Nawexa does not guarantee that every feature will be uninterrupted, error-free, or suitable for every use case.
Information on the public website is general and does not itself constitute legal, financial, regulatory, engineering, medical, or other regulated professional advice.
12. Limitation of liability
To the extent permitted by applicable law, Nawexa will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from use of the public website or a service covered only by these general Terms.
Where a separate written commercial agreement sets out warranties, indemnities, liability caps, exclusions, or remedies, those negotiated provisions govern the relevant engagement.
13. Suspension and termination
You may stop using a service subject to any applicable commercial commitments. Nawexa may suspend or restrict access where reasonably necessary to address security threats, unlawful activity, material breach, non-payment under an applicable agreement, or risks to users or systems.
Following termination, provisions that by their nature should survive may continue, including provisions concerning intellectual property, payment obligations already incurred, confidentiality where separately agreed, disclaimers, and liability limitations.
14. Changes to these Terms
We may update these Terms as services, laws, or business requirements change. The effective date at the top of this page will be updated when revised Terms are published. Material changes may also be communicated through the relevant product or another reasonable channel where appropriate.
